Mr. Perara has over 40 years’ experience as a banking lawyer.

His career in banking commenced when he was an Administrative Officer with Bank Negara Malaysia (Central Bank of Malaysia) in the Bank Regulation Department.

At Bank Negara, he was actively involved in the interpretation, administration and development of banking laws, regulations, policy objectives, directives and the implementation as well as the supervision of various financial institutions particularly merchant banks.

Presently Gerald leads the corporate banking and debt market team where his team advises investment banks and commercial banks in all aspects of credit and lending including drafting term sheets, loan syndication, security documentation, moneylending, venture capital and rescheduling and restructuring of debts.

The banking team also provides domestic and international corporate clients with advice on complying with the exchange control regime governed by the Central Bank of Malaysia.

Besides traditional financing, Gerald has experience in the private debt securities sector having advised on various conventional and Islamic bonds and notes issues as well as Eurobond and USD denominated convertible and exchangeable bonds (listed on the Kuala Lumpur Stock Exchange and international bourses).

Gerald has in the last two decades, added to his portfolio the development and financing of independent power projects pursuant to privatisation programmes instituted by the Governments of Malaysia, United Kingdom, certain African and South East Asian nations.

Anna Chin has extensive experience in undertaking due diligence exercises in connection with exercises undertaken by the firm’s clients and also focuses on real estate matters such as drafting the sale and purchase agreements, tenancies, deed of mutual covenants, power of attorney and other conveyancing agreements. Anna has also been involved in advising the financiers in Islamic and conventional banking.

Anna Chin has experience in court applications for non-contentious matters such as the application for grant of probate and letters of administration.

Anna Chin is part of the corporate banking and debt market team.

NOOR ALINA BINTI MOHAMAD FAIZ

Noor Alina has extensive experience in general corporate and commercial law.  She provides a broad range of corporate advisory work and drafting of commercial contracts and agreements, including acquisition and disposal of assets for both movable and immovable assets (local and international ventures). She also advises clients on regulatory, licensing and compliance matters.

Since her early years in Lee, Perara and Tan, Noor Alina has been involved in  numerous corporate exercises, including initial public offers and listing on the Bursa Malaysia Securities Berhad, equity offerings, private placements, rights issues, bonus issues and privatisation.

In addition to her fourteen years of experience as a practising lawyer, Noor Alina  has approximately 7 years of experience as in-house legal counsel for a public listed company and a private holding company and their respective group companies.  This gives her a unique insight on corporate legal and operational matters, business practices and laws, and in proposing practical solutions to private and public companies.

Jescey started her career as a practicing lawyer in civil litigation and in a span of 4 years, she has handled various civil litigation disputes including corporate litigation, defamation and industrial relations.

She then moved on to be in-house legal counsel with UEM Builders Berhad providing a broad range of corporate advisory works including drafting of commercial contracts. Thereafter,  she ventured into the broadcasting and telecommunications industry where she has over 14 years of experience as in-house legal counsel with Measat Broadcast Network Systems Sdn Bhd and its subsidiaries, Asian Broadcasting Network (M) Sdn Bhd, Digi Telecommunications Sdn Bhd and YTL Communications Sdn Bhd and its affiliates by providing advice on legal, regulatory, licensing and compliance matters.

As part of her legal and regulatory work in the telecommunications sector, she advises and drafts IT, network, mechanical and engineering, managed services, procurement, marketing and enterprise contracts, reviews consultation papers and questionnaires issued by the regulators and participates in industry agreements and efforts.

During her tenure in the broadcasting sector, she negotiated and drafted channel/content contracts with various international and local media partners, including HBO Asia, Disney Channel Asia, NHK Channel – Japan, Media Prima and RTM and licensing, publishing and distribution contracts with various publishing partners including Top Gear, FHM and FourFourTwo.

She also conducts annual training programmes and internal sessions for corporates on various areas including Personal Data Protection Act 2010, General Consumer Code and Content Code.

 

 

WANG YIEN

Wang Yien joined Lee, Perara & Tan upon completion of her pupillage in 2007. During her years of practice in Lee, Perara & Tan, she was assigned to the firm’s corporate department whereby she was involved in various corporate exercises undertaken by the firm’s clients including but not limited to initial public offering and listing on the Bursa Malaysia, merger and acquisitions, bonds issues and joint venture between Malaysia and China companies. She was also exposed to conveyancing as well as non-contentious litigation matters.

In 2010, Wang Yien joined Syarikat Ng & Anuar, Alor Setar branch in Kedah and specialising in all sorts of conveyancing practices including sale and sub-sale of properties, land dealing, commercial and corporate loan, perfection of transfer and charge, preparation of tenancy agreements, will writing and more. She was also involved in some renowned development projects namely Elit Heights and The Golden Triangle all of which are located in Penang.

Subsequently, Wang Yien re-joined Lee, Perara & Tan in 2013 and she was assigned to handle both corporate and conveyancing matters.

Wang Yien set up her own firm of Wang & Associates in 2017 practising in conveyancing matters and non-contentious litigation applications such as petition for grant of probate / grant of letter of administration and small estate distribution applications. She also practices in commercial documents drafting, such as joint venture agreements, share sale agreement, shareholders agreement and other commercial documents.

Wang & Associates has in 2023 merged with Lee, Perara & Tan. Wang Yien joined as a partner of the firm and is currently heading the firm’s branch located in Penang.
